These terms of use (“Terms of Use”) are entered into by and between ATLANTIC BRIDGE CORPORATION, a California corporation (“ABC,” “us,” “our,” and “we”), and you (“you” or “User”), the user of the website (www.atlanticbridge.com), mobile application, or similar service, product, or platform associated with these Terms of Use (“Website”). 

Please read the Terms of Use carefully before you begin utilizing the Website, including but not limited to submitting information via our contact form or submitting information to request an application. Your use of the Website is at your own risk and all uses are subject to these Terms of Use. By accessing, browsing, or using the Website, you acknowledge that you: (i) have read, understand, and agree to be bound by the Terms of Use and ABC’s Privacy Policy, which is incorporated herein by reference; and (ii) must comply with all applicable laws and regulations related to your use of the Website. If you do not agree with the Terms of Use, our Privacy Policy, any other terms governing your use of the Website, the Website’s content and platform, or other aspects of the Website, please do not access or use the Website for any reason. 

The Website is only intended for access and use by individuals over the age of 13 years old. All users must be over 13 years old. Please also see our Privacy Policy. By using the Website, you represent and warrant that you are over 13 years old and agree to these Terms of Use and the Privacy Policy, otherwise, you must not access or use the Website. 

  1. MODIFICATION OF THESE TERMS OF USE

ABC may modify or revise these Terms of Use at any time by updating this webpage. Any modifications or revisions to the Terms of Use will be effective upon the effective date written above, unless expressly stated otherwise.  By using the Website after any modifications or revisions, you agree to be bound by the Terms of Use as modified or revised.  You should visit this webpage periodically to review these Terms of Use and any changes made to them.

  1. ACCESSING THE WEBSITE AND ACCOUNT SECURITY

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion, without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts or all of the Website.

You are responsible for both:

  1. Making all arrangements necessary for you to have access to the Website.
  2. Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

  1. ABC’s services permit you to submit an application for admission and supporting documentation, including educational transcripts and letters of recommendation, to our affiliate educational institutions.
  2. You can submit an application for admission through the Website, and once the application is completed and the applicable fees are paid, we will forward your application for admission to our affiliate educational institutions selected by you.
  3. Application fees may only be paid by using PayPal, Payeezy, Visa, American Express, Discover Card, or Mastercard. You may also send cash, a money order, international bank draft, or check to ABC at 3419 Via Lido, Suite 629, Newport Beach, CA 92663, with a letter stating your name and email address to complete the payment of your application fee(s).
  4. ABC’s services are available on any compatible web browser.
  1. CREATION OF ABC SERVICE ACCOUNT

You can register and create your personal account (“ABC Account”) on the Website by entering your email and creating a password. The Website will then prompt you for information to complete your application(s). You agree that all information you provide to register with this an ABC Account or otherwise access the Website, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy

You must only create an ABC Account for your personal use. Non-personal and commercial creation and uses of ABC Accounts are strictly prohibited.

  1. INFORMATION YOU SUBMIT THROUGH YOUR ABC ACCOUNT

Your ABC Account contains the following information: your name, address, phone number, email address, fax number, age, date of birth, gender, occupation, marital status, number of children, spouse’s name and occupation, parents’ names, occupations, and contact information, criminal history, academic transcripts and information, and medical records and information. You represent and warrant all information provided by you or your agents and representatives in your ABC Account or otherwise, is accurate, correct, and true. You agree to only provide us with information online, whether by email, messaging apps, or the Website, that you have a legal right to provide, disclose, and share, and you warrant that the information or act of providing the information to us is in compliance with all applicable laws.

 All information pertaining to your application submissions and application fees is maintained by ABC for a period of eight (8) years, including without limitation, your name, the date and time each of your applications are submitted, details of your applications, frequency of your applications, application fee amounts, and your mobile phone number. Please see our Privacy Policy for how we may handle your personally identifiable information. 

  1. YOU ARE RESPONSIBLE FOR YOUR ABC ACCOUNT

You are solely responsible for all activities that take place with your email and password (“Credentials”) used to set up your ABC Account. You shall not share, disclose, or allow others to use your Credentials to access your ABC Account. You are responsible for maintaining the confidentiality of your Credentials and are similarly responsible for all uses of your ABC Account with such Credentials whether or not such uses are authorized by you. You must immediately notify ABC by email at info@atlanticbridge.com if the security of your ABC Account has been compromised in any way. ABC is not required to confirm the identity or the access right of any individual who uses your Credentials to access your ABC Account.

You also agree to ensure that you exit from your ABC Account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

  1. DURATION/TERMINATION OF YOUR ABC ACCOUNT

Subject to the provisions hereof, once the ABC Account is created by you, you will be able to access and use your ABC Account until your ABC Account is terminated by you or us. ABC may cease providing you with its services and may terminate your ABC Account: (i) if you do not comply with these Terms of Use; (ii) if termination or suspension is necessary to prevent threats to the privacy, security, and integrity of your data or the data of other users or to the performance or availability of ABC’s services; (iii) to comply with any applicable law or court order; or (iv) ABC discontinues the provision of its services. You may terminate your ABC Account at any time by emailing us at info@atlanticbridge.com. Upon terminating your ABC Account, ABC will maintain a copy of your information made available via your ABC Account for a period of eight (8) years from your last transaction or from the creation of your ABC Account, subject to ABC’s standard back-up procedures, or as required by law, whichever is later.

  1. USER REQUIREMENTS AND RESPONSIBILITIES

When using the Website, including communicating through the Website or providing information for your applications, you shall not: 

  1. Send, post, transmit, or upload material, content, or information that is threatening, harassing, defamatory, slanderous, or libelous; 
  2. Send, post, transmit, or upload material, content, or information that is obscene, pornographic, indecent, abusive, offensive, violent, hateful, inflammatory, or otherwise objectionable;
  3. Send, post, transmit, or upload material, content, or information that infringes on any trademark, copyright, or other intellectual property right of others; 
  4. Violate the legal rights (including the rights of publicity and privacy) of others; 
  5. Send, post, transmit, or upload, material, content, or information that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy;
  6. Send, post, transmit, or upload, without proper authorization, information that you know or should know to be confidential, sensitive, or in breach of the law, including personally identifiable information, that you do not have the right to use; 
  7. Send, post, transmit, or upload material, content, or information that impersonates any person or misrepresents your identity or affiliation with any person or organization;
  8. Send, post, transmit, or upload viruses or other harmful, disruptive, or destructive files; or
  9. Intentionally make false, deceptive, or misleading statements.
  1. PROHIBITED USES

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

  1. In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  3. To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms of Use.
  4. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  5. To impersonate or attempt to impersonate ABC, an ABC employee, another user, or any other person or entity (including, without limitation, by using email addresses or other personally identifiable information associated with any of the foregoing).
  6. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm ABC or its Website users, or expose them to liability.

Additionally, you agree not to:

  1. Use the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with any other user’s use of the Website, including their ability to engage in real time activities through the Website.
  2. Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
  3. Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
  4. Use any device, software, or routine that interferes with the Website’s proper working and operation.
  5. Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  6. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
  7. Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.
  1. Navigate or search the Website by using any program, software, tool, or other device with the purpose of mass-collecting data, including by using a data scraper, miner, spider, robot, or script.
  2. Frame, mirror, or use any other framing programs on the Website.
  3. Use any meta tags or other hidden text on the Website using the Intellectual Property (as defined below).
  4. Use any Intellectual Property (as defined below) from the Website for a commercial purpose or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  5. Employ automated means to access or use the Website.
  1. Otherwise attempt to interfere with the proper working of the Website.
  1. WEBSITE INTELLECTUAL PROPERTY

All the Website’s content (including text, trademarks, service marks, logos, music, sounds, videos, software, scripts, graphics, interactive features, or any downloadable content collectively, “Intellectual Property”) is owned by ABC, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, trade dress, and other laws in both the United States and elsewhere.  You may not use, sell, modify, reproduce, display, distribute, create derivative works from, or otherwise exploit any of the Intellectual Property or any other intellectual property related to the Website without the prior written consent of ABC or the content’s owner.  Without limiting the foregoing, you may not use ABC’s name, logo, trademark, or service mark in any manner without ABC’s prior written consent.    

You may only use the Intellectual Property as follows:

  1. Your computer may temporarily store copies of the Intellectual Property in RAM incidental to your accessing and viewing those materials.
  2. You may store files that are automatically cached by your web browser for display enhancement purposes.
  3. You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
  4. If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
  5. If we provide social media features with certain content, you may take such actions as are enabled by such features.

You must not:

  1. Modify copies of any Intellectual Property.
  2. Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  3. Delete or alter any copyright, trademark, or other proprietary rights notices from copies of the Intellectual Property.
  1. COMMUNICATIONS

Any unsolicited material that you submit to ABC, including suggestions on how to improve the Website, will be considered non-proprietary, public information that may be used by ABC for any purpose, as determined by ABC in its sole discretion, without any compensation to you.  Notwithstanding the foregoing, all information submitted to ABC will be handled in accordance with its Privacy Policy.  

By submitting information to ABC electronically, including by email, you are consenting to receiving communications from ABC electronically, including by email.  Should you elect to opt out of the receipt of electronic messages, you may do so by following the instructions provided in such message. 

  1. APPLICATION SUBMISSION

Any payment of application submission fees shall be in accordance with the prices and options set forth at the time of submission of your completed application.  All prices displayed on the Website are quoted in U.S. dollars and are valid and effective in any country. You agree to pay all submission fees listed at the time of submitting your complete application to ABC. All application fees are non-refundable.

ABC may use the third-party services to perform certain vital functions, including handling payments for the application submission fees discussed herein and hosting the Website.  These third parties will only have access to the aspects of your personally identifiable information that are necessary to perform their respective services. Although you may be required to provide credit/debit card information when you make a purchase, we immediately transmit this information to our payment gateway service provider. Payments through PayPal are subject to PayPal’s terms and conditions.

We utilize commercially reasonable and industry standard measures and protocols to secure your financial information. However, we cannot guarantee that third parties will not illegally circumvent such security measures to gain access to your financial information.

  1. INFRINGEMENT CLAIMS

If you believe your work has been copied in a way that constitutes copyright infringement, please provide a notice containing all the following information to our Copyright Agent, whose contact information is provided below:

  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; 
  2. A description of the copyrighted work that you claim has been infringed; 
  3. A description of where the material that you claim is infringing is located on the Website; 
  4. The address, telephone number, and e-mail address of the copyright owner or its agent; 
  5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and 
  6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. 

 ABC will handle all notices it receives under this section in accordance with the terms of the Digital Millennium Copyright Act.

  1. NO WARRANTIES

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Website will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our Website for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER ABC NOR ANY PERSON ASSOCIATED WITH ABC MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE. WITHOUT LIMITING THE FOREGOING, NEITHER ABC NOR ANYONE ASSOCIATED WITH ABC REPRESENTS OR WARRANTS THAT THE WEBSITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

  1. LIMITATION OF LIABILITY

IN NO EVENT WILL ABC, OR ANY OF ABC’S AFFILIATES, BE LIABLE TO ANY USER OR ANY THIRD PARTY FOR ANY DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES OR LOST PROFITS) RESULTING FROM THE USE OR INABILITY TO USE THE WEBSITE OR THE WEBSITE’S CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ABC OR ANY OF ABC’S AFFILIATES IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND IN ANY EVENT THE TOTAL CUMULATIVE AMOUNT WHICH YOU CAN RECOVER SHALL NOT EXCEED THE AMOUNT YOU PAID TO ABC IN APPLICATION SUBMISSION FEES. ABC IS NOT LIABLE FOR ANY INCORRECT INFORMATION SUBMITTED BY YOU AND HAS NO CONTROL OVER, OR LIABILITY FOR, THE INDEPENDENT DECISIONS OF OUR AFFILIATED ACADEMIC INSTITUTIONS IN DECIDING TO ACCEPT OR DENY YOUR APPLICATION FOR ADMISSION.   

ABC provides you with access to this Website in its sole discretion and reserves the right to modify or discontinue any aspect of the Website, including your ability to access the Website, at any time without notice.  ABC will not be liable to you or any third party for any modification or discontinuance of any aspect of the Website or your ability to access the Website.  Certain services offered through the Website may not be available in your area, and ABC will not be responsible for any such unavailability.    

  1. INDEMNITY

You shall defend, indemnify, release, covenant not to sue, and hold harmless ABC and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, causes of action, lawsuits, arbitrations, proceedings, liabilities, damages, judgments, costs, or expenses (including attorney’s fees) asserted by third parties, including other users of the Website, arising out of or related to your use or alleged use of the Website, including any of the Website’s content, or your breach or alleged breach of these Terms of Use.    

  1. DISPUTES

All legal issues arising from or related to the use of the Website or to the subject matter of these Terms of Use are to be governed by, construed in accordance with, and determined by the laws of the State of California, without regard to any conflict of law principle that will cause the substantive law of another jurisdiction to apply. The exclusive venue for the resolution of all disputes, lawsuits, arbitrations, proceedings, or other actions arising out of or relating to the Website, these Terms of Use, or ABC’s Privacy Policy is Orange County, California, and you hereby submit to personal jurisdiction to that forum and waive any claim or defense that it is an inconvenient forum.  

  1. SEVERABILITY 

If an authority of competent jurisdiction determines that any provision of these Terms of Use is invalid or unenforceable, that provision is to be severed from these Terms of Use, and the remainder of these Terms of Use is to remain in full force and effect.

  1. WAIVER AND SEVERABILITY

No waiver by ABC of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ABC to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

  1. ENTIRE AGREEMENT

These Terms of Use and the Privacy Policy contain the entire agreement between you and ABC concerning your use of the Website, superseding any previous negotiations, understandings, or agreements between you and ABC, whether written or oral.

  1. ASSIGNMENT

You may not assign any rights, duties, obligations, or claims under, arising out of, or relating to these Terms of Use without ABC’s prior written consent.  ABC’s rights, duties, obligations, and claims under these Terms of Use are freely assignable.  

  1. CONSTRUCTION

As used in these Terms of Use, the masculine, feminine, or neuter gender, and the singular or plural number, include the others whenever the context so indicates.  The use of “including” in these Terms of Use is for purposes of example and illustration, and not for purposes of restriction or limitation.

  1. NOTICE TO CALIFORNIA RESIDENTS

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: If you are charged for services, products, content, or information, pricing will be posted as part of the ordering process. If you have a question or complaint regarding the Website, please send an email by using the contact information below. Alternatively, California residents may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
